Consideration, guarantees, special rights, and organization of the apartment owners in an evacuation and reconstruction project.
The deal: an old neighborhood in exchange for a new apartment
In an evacuation and reconstruction project, old buildings are demolished and a new complex is built in their place: the apartment owners receive a new, larger apartment in a modern building with a safe room, elevator, and parking, and usually full rent for the construction period. But this is also the longest and most complex process in urban renewal: from the signing stage, through committee approvals, to occupancy, many years pass, and along the way: developers are replaced, conditions change, and residents grow old while waiting.
The points that determine the residents’ fate
The consideration and equality: the enlargement ratio, specification, floor, and air directions, and equality among the residents (gaps in consideration require a substantive clarification, and do not automatically invalidate the transaction); the guarantees: Sale Law guarantees, rent, taxes, and registration, without which the residents are exposed to the developer’s collapse; elderly residents’ rights: the law requires offering elderly residents designated alternatives (an early apartment, a nursing home, monetary consideration); and exit mechanisms: milestones whose non-fulfillment releases the residents from the agreement. Signing an early “principles document” of a developer, without representation, binds residents for years: even “non-binding” documents are more binding than they appear.
Organizing the residents: the real power
Organized tenants, with a representative body, a lawyer acting on their behalf (whose fee is usually paid by the developer, subject to the transaction agreements), and an accompanying appraiser, obtain consideration and securities incomparably better than tenants who signed one by one opposite a signer on behalf of the developer. The representative body conducts a genuine developers' tender, compares proposals, and dictates terms.
