Exclusivity, termination of distribution, prior notice, and proof of damage to the distributor or supplier.
The unique nature of distribution agreements
A distribution agreement creates an ongoing relationship: the distributor invests years in building a market, reputation, and customer relationships for the supplier's products, and the supplier depends on the distributor as its sales channel. Precisely because of this mutual dependence, distribution disputes are among the most difficult in commercial law: sudden cancellation of an agreement, bypassing the distributor and selling directly to its customers, appointing a competing distributor in the territory, and harming exclusivity.
Termination of a distribution agreement: not overnight
Case law provides that a distribution agreement for an indefinite period may be terminated, but only with reasonable prior notice, the length of which is derived from the duration of the relationship, the extent of the distributor's investments, and the time required for it to prepare. Termination without reasonable notice entitles the distributor to compensation for the notice period that was denied: the profits it would have earned during it. In appropriate cases, compensation is also awarded for investments that were lost and for goodwill that was built and taken.
Urgent remedies in distribution disputes
When a supplier abruptly cuts off a distributor, the damage is immediate: customers leave, inventory gets stuck, and the business collapses. Therefore, the fight is in real time: temporary injunctions against termination of the engagement or against appointing an alternative distributor, orders for the supply of goods, and attachments to secure compensation. On the other hand, suppliers need protection from breaching distributors: failure to meet targets, harm to the brand, and non-payment.
